Terms of Service

1. Acceptance of Terms

By accessing and using the TP DOC GEN AI platform ("Platform"), operated by SBC Advisory ("Company," "we," "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the Platform. These terms apply to all users, including individual practitioners, organizations, and any authorized representatives.

2. Description of Service

TP DOC GEN AI is an AI-powered transfer pricing documentation and benchmarking platform. The Platform provides automated benchmarking analysis, comparable company searches, economic analysis generation, PLI computations, local file and master file generation, compliance calendar management, and AI-assisted advisory support. All features are designed to support — not replace — professional judgment and review by qualified transfer pricing professionals.

3. User Accounts & Registration

• You must provide accurate and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately of any unauthorized access to your account.
• One account per individual; sharing credentials is prohibited.
• We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable tax laws and regulations.
• Reverse engineer, decompile, or attempt to extract source code from the Platform.
• Upload malicious software, viruses, or any harmful code.
• Scrape, harvest, or systematically extract data from the Platform beyond authorized use.
• Share, resell, or sublicense access to the Platform without written authorization.
• Misrepresent AI-generated outputs as independently verified professional advice without proper review.

5. Intellectual Property

All content, features, functionality, software, algorithms, AI models, user interface designs, documentation templates, and branding associated with TP DOC GEN AI are the exclusive intellectual property of SBC Advisory. You retain ownership of data you upload to the Platform. By uploading data, you grant us a limited license to process it for the purpose of delivering Platform services. Generated reports and outputs belong to you upon delivery, subject to continued compliance with these terms.

6. Data & Confidentiality

We treat all entity data, financial information, and transfer pricing documentation uploaded to the Platform as strictly confidential. Data is encrypted in transit and at rest. We do not use client-specific data to train AI models or share it with third parties except as required to deliver Platform services or as described in our Privacy Policy. Each client's data is logically isolated and accessible only to authorized users within their organization.

7. AI-Generated Content Disclaimer

The Platform uses artificial intelligence to generate benchmarking analyses, economic narratives, FAR analyses, and other transfer pricing documentation. While our AI systems are designed in alignment with OECD Guidelines and jurisdiction-specific regulations, all AI-generated outputs should be reviewed by qualified transfer pricing professionals before submission to tax authorities. SBC Advisory does not guarantee the accuracy, completeness, or legal sufficiency of AI-generated outputs without professional review.

8. Subscription & Payment

• Access to the Platform requires an active subscription as per the selected pricing plan.
• Fees are billed in advance on a monthly or annual basis as selected during subscription.
• All fees are non-refundable except as required by applicable law.
• We reserve the right to modify pricing with 30 days' advance notice.
• Failure to pay may result in suspension or termination of access.

9. Limitation of Liability

To the maximum extent permitted by law, SBC Advisory shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount paid by you for Platform services in the twelve (12) months preceding the claim. The Platform is provided "as is" and we make no warranties, express or implied, regarding merchantability, fitness for a particular purpose, or non-infringement.

10. Termination

Either party may terminate the subscription with 30 days' written notice. We may immediately suspend or terminate access for violations of these terms. Upon termination, you may request export of your data within 30 days. After this period, data may be permanently deleted in accordance with our data retention policies.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the jurisdiction in which SBC Advisory is incorporated. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to registered users via email or platform notification at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance of the updated terms.
